1. Services

Guided Presence provides website design, hosting coordination, and ongoing maintenance per the plan selected at signup.

2. Payment

Setup fees are due before work begins. Monthly fees are billed on the 1st. Nonprofits receive 50% off setup with valid 501(c)(3) documentation.

3. Updates & Revisions

Updates included in your plan refresh monthly and do not roll over. Additional updates billed at $15 each.

4. Cancellation

Cancel anytime with 14 days' notice. You retain ownership of your domain and content.

5. Arbitration

Any dispute arising from these terms shall be resolved through binding arbitration in the client's state of residence, governed by the rules of the American Arbitration Association. Both parties waive the right to jury trial and class actions.

6. Client Responsibilities

Client agrees to provide all required content, logos, copy, and feedback in a timely manner. If the client is unresponsive for 14 or more consecutive days, the project timeline pauses and may be subject to a restart fee of $25 to resume work.

7. Revisions

Each plan includes 2 rounds of revisions during the initial build. Additional revision rounds beyond the included scope are billed at $25 per hour. Revisions must be submitted in writing via email to guided.presence@outlook.com.

8. Refund Policy

Setup fees are non-refundable once design or development work has begun. If work has not yet started, setup fees are fully refundable within 7 days of payment. Monthly maintenance fees are non-refundable but may be canceled per Section 4.

9. Limitation of Liability

To the fullest extent permitted by law, Guided Presence's total liability for any claim arising from these terms or the services provided shall not exceed the total amount paid by the client in the 3 months preceding the claim. Guided Presence is not liable for indirect, incidental, or consequential damages.

10. Third-Party Services

Guided Presence is not responsible for outages, downtime, data loss, price changes, or service issues caused by third-party providers including but not limited to hosting platforms, domain registrars, payment processors, email services, or analytics tools.

11. Content Warranty & Intellectual Property

Client warrants that they own or have proper licensing for all logos, images, text, and other materials they provide. Client agrees to indemnify Guided Presence against any third-party copyright or trademark claims arising from client-supplied content. Upon final payment, client owns the final delivered website design and content. Guided Presence retains rights to underlying code, frameworks, and the right to display the completed work in its portfolio and marketing materials.

12. Communication

All project communication should be conducted via email at guided.presence@outlook.com. Guided Presence aims to respond within 2 business days. Urgent issues affecting a live site will be prioritized.

13. Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, war, pandemic, government action, internet or utility outages, or other unforeseeable circumstances.

14. Severability

If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Domain & Access Parameters

Access Responsibility. If a client provides their own domain, they must provide valid login credentials or be available to input DNS settings. Guided Presence is not responsible for recovering lost passwords or troubleshooting locked accounts.

Failed Connections. The $15 BYOD (Bring Your Own Domain) fee covers one connection attempt. If access issues prevent a connection, additional support will be billed at $25/hour.

Post-Transfer Liability. Once a project is transferred to a client's personal account, Guided Presence is no longer responsible for site uptime, maintenance, or technical errors.
